Job description: Role: Head of Governance
Location: Camden, NW1
Work pattern: 35 hrs, Mon - Fri, 09:00 - 17:00
Salary: £70,000
Contract Type: Permanent

I'm searching for a Head of Governance to develop and embed excellent governance across the company and its subsidiaries. This role is wide ranging and influential role within the company and you will be responsible for the provision and oversight of an excellent company secretary and governance service to the board. You will ensure that the company complies with all statutory and regulatory requirements are met. You will work with the Group Director of Governance and Compliance and advise on the legal structure ensuring that it is efficient. For this role you will need significant experience as a company secretary in a complex and fast moving business ideally in the housing sector. You will also have significant experience and knowledge of company restructures including mergers and acquisitions.

Key Responsibilities
*You service the Company Board, its committees and subsidiary meetings to an excellent standard.
*You will produce high quality minutes and actions of Company Board meetings and oversee likewise for committee meetings.
*You will maintain all company governance related records and documents ensuring they are fully up to date and that there is a 'single version of the truth'.
*You will lead on the Company's Governance Handbook - including Standing Orders, all Terms of Reference, Financial Regulations etc.
*You will oversee all governance policies are up to date and meet legal, regulatory and best practise requirements.
*You will lead on all probity matters for Board Executive and staff.
*You will ensure that the board Code of Governance is suited to the needs of the organisation and on an annual basis, review and document compliance with that Code.
*You will execute legal documents relating to governance of the Group.

Experience/Qualification:
*You will be ICSA qualified and have a degree level education.
*Have significant experience as a company secretary ideally within the housing sector.
*Demonstrable experience of positively engaging, working collaboratively and get buy in from a range of stakeholders.
*Yu will have experience of company restructures, including mergers and acquisitions.
*You will have demonstrable experience of staff motivation and management.
*You will have a proven track record of delivery in a demanding and fast paced environment.
*You will have a good level of IT skills.
