Job description: Job Title: Head of Governance
Location: Sevenoaks, TN13
Contract Type: Permanent
Weekly Hours: Full time 37 Hours per week (Monday to Friday)
Salary: £65,000 per year
Closing Date: 13/01/2021

This new role will focus on re-enforcing our clients strong corporate governance and assurance. It will be key to assuring the business foundations are safe, providing Board level assurance on regulatory compliance, meeting evolving standards for consumer regulation and delivering Value for Money. As they modernise their service offer and invest in technology to support ambitions, you will enhance their assurance framework to manage new risks associated with 'business change'.

Key Duties
*Be the company secretary for the client and their subsidiaries.
*Provide the highest standards of corporate governance to boards and committees and clear guidance and direction on The Companies Act, The Charities Act and other regulations relating to housing.
*Lead on horizon scanning and organisational risk management. Collaborate with colleagues to ensure that management decisions and actions take account of risk.
*Ensure a risk based internal audit and controls assurance approach.
*Develop and implement change management assurance to support the strategic plan delivery
*Ensure regulatory returns are completed accurately and on time including gathering and reporting on all contractual and statutory obligations and assurances.
*Provide efficient and effective business services for; Company Secretarial and procurement services.
*Maintain all the required governance registers and associated policies and procedures.
*Continuous review of the organisations governance structures and arrangements to ensure they deliver appropriate levels of responsibility, accountability, efficiency and effectiveness

Qualifications and skills
*Qualified or part qualified Company Secretary or demonstrable experience in a regulated sector.
*Strong, up to date, professional knowledge of the legal and policy frameworks in which Housing Associations operate
*Strong administrative and organisational skills
*Recognises and embraces diversity and values the contribution made
*Good communicator, personal gravitas, able to present complex technical information in a way to foster a positive risk-based approach at Board, Exec and across company
*Led on risk and assurance in a regulated sector, ideally a Housing Provider of at least similar size and complexity.
*Experience of researching, developing and implementing effective policies & practices on governance, assurance and risk.
*Substantial experience of ensuring the Group's compliance with all relevant legislation, appropriate codes of practice and regulations and operating codes of practice.
*Personal influence; working effectively with boards, committees, partners and stakeholder groups.
*Proven management experience with the skills to build a high performing team, demonstrating credibility, strong influencing and communication skills, personal drive and ambition to make a difference.
*Experience of leading substantial, and successful business transformation and change management.
