Job Title: Company Secretary
Location: Southwark, SE1
Contract Type: 12 months FTC
Weekly Hours: Part time - 2 days per week (15 hours)
Start Date: January 2024
Salary: £50,000 (£20,000 pro rata for 2 days per week)

The role holder will be working with the Chief Executive, the Chair, Board Members, and other colleagues, playing a key role in ensuring that Board and Committee procedures are both followed and regularly reviewed. Enabling the organisation and its subsidiaries to:

  • Receive an excellent Company Secretary Administration Service.
  • Meet their corporate regulatory and legal obligations.


The Role Responsibilities:

  • Support the Chair, Board and Committees members and the Chief Executive in ensuring that they understand and meet their governance responsibilities.
  • Ensure the Board and Executive team are aware of changes and developments in corporate governance, regulation and relevant legislation
  • Manage programs for succession planning, recruitment, induction, appraisal, and training of the Board and individual members, including supporting members to achieve their Personal Development Plans.
  • Construct and publish the Governance Meetings Schedule.
  • Ensure that Governance meetings (Board, Committees, Subsidiaries and AGM) are well organised and appointments with all attendees are made.
  • Work with the CEO and Directors to produce Board and Committee meeting agendas, keeping Board agenda forward plans.
  • Produce a Company Secretary Report to the Board as required and produce the relevant sections for the organisation's annual report.
  • Attend Board and Committee Meetings as required, to provide advice and guidance, assisting the Governance Administrator with Board minuting.
  • Support the Executive Assistants and Governance Assistant in organising Board events.

Essential Requirements:

  • Worked successfully as a Company Secretary in a medium to large sized company.
  • Experience of working at a senior level with Boards, Committees, and Executive teams.
  • Knowledge and understanding of the affordable housing sector and its legal and regulatory framework.
  • Minutes, report, and letter writing to a high standard.
  • Good administrative skills.
  • Good standard IT skills. MS Word, PowerPoint, SharePoint, Excell, Outlook, Teams, Zoom, Board meeting systems.
  • Good communication, collaborative working, networking, and presentation skills.
  • Knowledge of the housing sector would be beneficial.
